These Terms of Service ("Terms") govern your access to and use of RFPing.com and its related services (collectively, the "Service"), provided by Intelligrit, LLC ("we", "us", or "our"). The Service includes RFP finding, parsing, extraction, proposal generation, compliance matrix creation, and collaboration tools. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

By accessing or using RFPing.com, you affirm that you are at least 18 years old and capable of entering into a binding contract. If you are accessing or using the Service on behalf of a business or entity, you represent that you have the authority to bind that business or entity to these Terms.

RFPing.com offers two types of accounts:

1. Standard Account
2. Enterprise Account (with enhanced security and logging features)

The specific features and limitations of each account type may be subject to change and are detailed on our website.

You agree not to engage in any activity that we, at our sole discretion, deem to be abusive or harmful to the Service, other users, or Intelligrit, LLC. We reserve the right to determine what constitutes abuse arbitrarily and at our sole discretion. Any user found to be engaging in abusive behavior will have their account terminated immediately without prior notice.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including, but not limited to, a breach of the Terms. Upon termination, your right to use the Service will immediately cease.

Payments for the Service are due before each month of use. We do not offer refunds for any payments made.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We make no warranties regarding the accuracy, reliability, or reproducibility of any results obtained through the use of the Service.

In no event shall Intelligrit, LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

These Terms shall be governed and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Maryland.

We reserve the right to modify or replace these Terms at any time. We will provide notice of any significant changes by posting the new Terms on RFPing.com. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

If you believe any user has violated these Terms of Service, please report it to tos@intelligrit.com.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
